Terms of Service
Docnez by Nezuna Technologies Inc.
Draft notice: This document is a draft and must be reviewed by a licensed Ontario lawyer before publishing.
Effective date: October 29, 2026
These Terms of Service ("Terms") govern your access to and use of docnez.com and the Docnez electronic signature service (together, the "Service"), operated by Nezuna Technologies Inc., a corporation incorporated under the laws of the Province of Ontario (Ontario Corporation Number 1001604486) with its registered office at 29 Hemlock Drive, Markham, Ontario L3P 4M5, Canada ("Nezuna", "we", "us", "our").
By creating an account, purchasing a plan, sending a document, or signing a document through the Service, you agree to these Terms. If you use the Service for an organization, you confirm you have authority to bind that organization, and "you" includes it. If you do not agree, do not use the Service.
1. Who These Terms Apply To
- Account Holders create an account, upload documents, and send them for signature.
- Signers receive a link by email and sign without creating an account. Signers are bound by Sections 4, 5, 6, 11, 12, 13, 14 and 16 to 19 when they use the Service.
2. What the Service Does
The Service lets Account Holders upload PDF documents, places signature and initial fields (including automated field detection and initials on each page), sends signing links by email, collects electronic signatures, and generates a certificate of completion and an audit trail recording events such as IP address, timestamps, and browser user agent.
Automated field detection is a convenience only. You are responsible for checking that every field is correctly placed, complete, and appropriate before sending. We do not review document content.
3. Accounts
You must provide accurate information, keep your credentials confidential, and promptly tell us at hello@docnez.com about any unauthorized use. You are responsible for all activity under your account. You must be at least the age of majority in your province, state, or country of residence, and in any case at least 18 years old, to create an account or sign documents.
4. Not Legal Advice; Your Responsibility for Documents
Nezuna is a technology provider, not a law firm, and is not a party to any document signed through the Service. Nothing in the Service is legal advice.
You alone are responsible for:
- the content, accuracy, and lawfulness of your documents;
- whether an electronic signature is legally valid, enforceable, and sufficient for your document, transaction, and jurisdiction;
- identifying signers and confirming that the person who signs is the intended person (an email link proves control of an email inbox, not identity);
- obtaining any consent required to deal with signers electronically;
- any witnessing, notarization, commissioning, filing, or registration requirements;
- keeping your own copies of signed documents and audit records.
We do not guarantee that any document signed through the Service will be accepted by a court, government body, registry, financial institution, or other party.
5. Excluded Documents — Do Not Sign These on Docnez
Ontario's Electronic Commerce Act, 2000 and similar laws elsewhere exclude certain documents from electronic signing or impose special requirements. You must not use the Service to create, send, or sign:
- wills and codicils;
- trusts created by wills or codicils;
- powers of attorney, including continuing powers of attorney for property and powers of attorney for personal care;
- negotiable instruments (such as cheques, promissory notes, and bills of exchange);
- documents of title (such as bills of lading and warehouse receipts), to the extent excluded by law;
- documents that create or transfer interests in land and require registration to be effective against third parties, and other land transfer or registration documents;
- any other document that applicable law requires to be signed in ink, witnessed in person, notarized, or otherwise executed in a form the Service does not support.
Laws change and vary by jurisdiction. If you are unsure, ask a lawyer before using the Service. We may remove or block any document we reasonably believe falls into these categories, but we have no duty to monitor, and any use for excluded documents is at your sole risk.
6. Acceptable Use
You must not, and must not allow others to:
- use the Service for any unlawful, fraudulent, deceptive, or harassing purpose, including forging signatures, impersonating anyone, or obtaining signatures without informed consent;
- upload content that infringes others' rights, contains malware, or is defamatory, obscene, or exploitative;
- send unsolicited commercial messages through the Service or otherwise breach Canada's Anti-Spam Legislation (CASL) or similar laws;
- upload sensitive personal information (such as health, financial account, or government ID data) unless you have a lawful basis and appropriate consents;
- probe, scan, overload, or bypass security, rate limits, or plan limits of the Service;
- reverse engineer, scrape, copy, resell, or build a competing product from the Service, except as permitted by law;
- use the Service in violation of sanctions or export control laws.
7. Plans, Billing, and Payment
Plans (USD, billed monthly):
| Plan | Price | Documents |
|---|---|---|
| Free | $0 | 2 documents per month, 1 user |
| Solo | $3/month | 15 documents per month, 1 user |
| Team | $7/month | 50 documents per month, up to 5 users |
| Business | $15/month | Unlimited documents (subject to fair use), up to 15 users |
- Payments are processed by Stripe. By paying, you also agree to Stripe's applicable terms. We do not store full card numbers.
- Paid plans renew automatically each month until cancelled. You authorize us to charge your payment method at the start of each billing period.
- Prices exclude taxes. You pay all applicable taxes (including HST/GST/QST/sales tax) unless we are required to collect them, in which case they will be added.
- Unused document allowances do not roll over. "Unlimited" on the Business plan is subject to fair use: we may limit or contact you about volumes that are abusive, automated in bulk, or materially above typical business use.
- If payment fails, we may retry the charge, downgrade you to the Free plan, or suspend paid features.
- We may change prices or plan features with at least 30 days' notice; changes apply from your next billing period. If you do not agree, cancel before the change takes effect.
8. Cancellation and Refunds
You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep paid features until then.
Except where required by applicable law, all fees are non-refundable, including for partial months, unused allowances, downgrades, or unused accounts. Nothing in these Terms limits any refund or cancellation right you have under mandatory consumer protection law (for example, Ontario's Consumer Protection Act or Québec's Consumer Protection Act), which apply to the extent they cannot be waived.
9. Free Plan and Beta Features
The Free plan and any beta or preview features are provided "as is", may be changed or discontinued at any time, and may have lower support or availability.
10. Your Content and Our Licence
You keep ownership of documents and data you upload ("Your Content"). You grant Nezuna a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, and display Your Content only as needed to provide, secure, and improve the Service, comply with law, and enforce these Terms. You confirm you have all rights and consents needed to grant this licence and to share Your Content and signers' personal information with us.
Our handling of personal information is described in our Privacy Policy. As between you and us, you are responsible for the personal information you put in documents and for your obligations to signers.
11. Our Intellectual Property
The Service, software, design, and branding are owned by Nezuna or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service under these Terms. Feedback you give us may be used freely without obligation to you.
12. Suspension and Termination
We may suspend, restrict, or terminate your access, remove content, or refuse service, with or without notice, if we reasonably believe that you breached these Terms, failed to pay, created legal, security, or reputational risk, or that action is required by law. Where reasonable and lawful we will try to give notice first.
On termination, your right to use the Service ends. We will make Your Content available for export for 30 days after termination (unless termination was for illegal activity or prohibited by law), after which we may delete it as described in the Privacy Policy. Sections that by their nature should survive (including 4, 5, 8, 10 to 19) survive termination.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". NEZUNA DISCLAIMS ALL WARRANTIES, CONDITIONS, AND REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, QUALITY, FITNESS FOR A PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT FIELD DETECTION WILL BE ACCURATE; THAT EMAILS WILL BE DELIVERED; OR THAT ANY SIGNATURE OR DOCUMENT WILL BE LEGALLY VALID OR ENFORCEABLE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- NEZUNA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR FOR ANY UNENFORCEABLE, INVALID, OR DISPUTED DOCUMENT OR SIGNATURE, EVEN IF ADVISED OF THE POSSIBILITY.
- NEZUNA'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.
- THESE LIMITS APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), AND STATUTE, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Some jurisdictions (including Québec for consumers) do not allow certain exclusions; in those cases the limits apply only to the extent permitted. Nothing here excludes liability for fraud, gross negligence, or intentional fault where that cannot lawfully be excluded.
15. Indemnity
You will defend, indemnify, and hold harmless Nezuna and its directors, officers, employees, and agents from all claims, losses, damages, liabilities, fines, costs, and expenses (including reasonable legal fees) arising from or related to: (a) Your Content and documents you send or sign; (b) your use of the Service; (c) your breach of these Terms or of law, including privacy, anti-spam, and electronic signature laws; (d) disputes between you and any signer or third party; or (e) use of the Service for excluded documents. We may control the defence of any claim at your cost, and you will cooperate.
16. Changes to the Service and These Terms
We may change, add, or remove features at any time. We may update these Terms from time to time. For material changes we will give at least 15 days' notice by email or in the Service, except where changes are required by law or address security, which may take effect immediately. Continued use after the effective date means you accept the updated Terms. If you do not agree, stop using the Service and cancel.
17. Electronic Communications
You consent to receive transactional and service communications from us electronically (receipts, security notices, signing notifications, changes to these Terms). Marketing emails are sent only in compliance with CASL and include an unsubscribe option; see the Privacy Policy.
18. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. You and Nezuna submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, except where mandatory consumer law gives you the right to bring proceedings in your home jurisdiction. Any claim must be brought within one (1) year after it arises, to the extent permitted by law. Claims may be brought only individually, not as part of a class or representative action, to the extent permitted by law.
19. General
- Entire agreement: These Terms, the Privacy Policy, and any plan terms are the whole agreement between us about the Service.
- Assignment: You may not assign these Terms without our consent. We may assign them, including in a merger, acquisition, or sale of assets.
- Severability: If any provision is unenforceable, it will be limited to the minimum extent and the rest remains in effect.
- No waiver: Failure to enforce a right is not a waiver.
- Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including outages of hosting, email, or payment providers.
- Language: The parties have requested that these Terms be drawn up in English. Les parties ont exigé que ces conditions soient rédigées en anglais. Where Québec law requires, a French version of these Terms is available on request at hello@docnez.com. Lorsque la loi québécoise l'exige, une version française est disponible sur demande.
- Independent parties: No partnership, agency, or employment relationship is created.
